The Governing Board is the agency's senior oversight body (noted in parliamentary discussion as 15 members, chaired by the ICT Minister) responsible for approving strategy, policies, budgets, audited accounts, major partnerships, and rule‑making powers for financial and operational management; it sets governance safeguards including for any subsidiary companies.

The governing authority of the Institute, composed of ex‑officio members from relevant federal ministries, representatives of accreditation and regulatory agencies, academic representatives and merit appointees; empowered to set objectives, approve programmes, determine annual estimates, exercise administrative and disciplinary control, and approve standards and investments.

The statutory Board constituted under the Act that governs the Malta Digital Innovation Authority, including composition, appointment mechanics, powers, fiduciary duties and delegated authorities. The Board is responsible for strategic oversight and governance of the Authority’s functions.
